These Terms of Service (“Terms”) govern your access to and use of the website, services, digital products, and offerings provided by Cinéra House, operated by EH Synergy LLC, a Texas limited liability company headquartered in Dallas, Texas (“Company,” “we,” “us,” or “our”).

Our website is hosted through Showit. Payments are processed through Stripe, Inc. (“Stripe”) and may integrate additional authorized payment processors in the future.

By accessing, browsing, purchasing, or otherwise using our Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, do not use the Services.

SECTION 1 – ELIGIBILITY

You represent that you are at least 18 years of age and legally capable of entering into binding contracts.

You agree that you are purchasing Services for business or entrepreneurial purposes.

SECTION 2 – SERVICES

Cinéra House provides strategic website design, branding services, digital experiences, and related offerings (“Services”).

All Services are subject to availability and acceptance.

Visual representations and descriptions are illustrative only and do not guarantee specific results beyond the scope expressly agreed to in writing.

SECTION 3 – ORDERS, BOOKINGS & PROJECT COMMITMENTS

Submitting payment constitutes a request to engage our Services.

Work does not commence until:

• Payment is received, and;
• Any required agreements or Statements of Work are executed;
• Deposits secure project scheduling and are governed by our Refund Policy;
• All custom services are subject to scope limitations outlined in your selected package and applicable Statement of Work.

SECTION 3.1 – BINDING AGREEMENT UPON PAYMENT

Submission of payment constitutes acceptance of these Terms, the applicable Statement of Work (if any), and the Refund Policy.

A separate signed agreement may further govern custom projects; however, payment alone creates a binding contractual obligation.

SECTION 4 – PRICING & BILLING

Prices are subject to change without notice.

You agree to provide accurate payment information and authorize all charges incurred.

You are responsible for any applicable sales or use taxes, including Texas sales tax where applicable.

Failure to remit payment when due may result in suspension of Services.

SECTION 5 – DELIVERY & TIMELINES

Timelines are estimates only and depend on client participation, content delivery, and third-party platform functionality.

Cinéra House is not responsible for delays caused by client inaction or external service providers.

SECTION 6 - CINÉRA HOUSE TERMS OF SERVICE

All content, designs, layouts, strategy materials, frameworks, systems, and deliverables created by Cinéra House remain the intellectual property of EH Synergy LLC unless explicitly transferred in writing.

For custom website projects, ownership of final approved deliverables transfers only upon receipt of full and final payment of all fees owed.

Until payment is received in full:

• No license is granted;
• No usage rights are granted;
• No publication rights are granted.

Cinéra House retains ownership of:

• Preliminary drafts and unused concepts;
• Proprietary systems and methodologies;
• Underlying frameworks and design structures.

Unauthorized use prior to full payment constitutes infringement.

SECTION 7 – THIRD-PARTY TOOLS & PLATFORMS

Our website is hosted through Showit. Payments are processed through Stripe.

We may provide access to third-party tools “as is” without warranties.

You agree that Cinéra House is not responsible for failures, outages, or errors caused by third-party providers.

SECTION 8 – REFUND POLICY

All purchases are governed by our separate Refund Policy.

Deposits are non-refundable.

Custom services are non-refundable once work has commenced.

SECTION 9 – TERMINATION

We may suspend or terminate Services if you:

• Fail to make payment;
• Breach these Terms;
• Engage in unlawful conduct.

Obligations incurred prior to termination remain enforceable.

SECTION 10 – DISCLAIMER OF WARRANTIES

Services are provided “as is” and “as available.”

To the fullest extent permitted by law, Cinéra House disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

We do not guarantee specific business results, revenue outcomes, SEO rankings, or platform performance.

SECTION 11 – LIMITATION OF LIABILITY

To the fullest extent permitted by law, Cinéra House shall not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data.

Total liability shall not exceed the total amount paid by you for the applicable Services.

SECTION 12 – TEXAS CONSUMER NOTICE

To the extent permitted by law, Cinéra House disclaims any implied warranties except those that cannot legally be disclaimed.

Nothing in these Terms is intended to waive rights that cannot be waived under Texas law.

SECTION 13 – INDEMNIFICATION

You agree to indemnify and hold harmless Cinéra House and EH Synergy LLC from any claims, damages, liabilities, or expenses arising from:

• Your misuse of Services;
• Client-provided content;
• Violation of intellectual property rights;
• Breach of these Terms.

SECTION 14 – CHARGEBACKS & PAYMENT DISPUTES

Initiating a chargeback or payment dispute without first providing written notice and allowing ten (10) business days for resolution constitutes a material breach of these Terms.

In the event of a chargeback:

• Services may be suspended immediately;
• Access to deliverables may be revoked;
• All outstanding balances become immediately due;
• Signed agreements, invoices, onboarding confirmations, IP logs, and communications may be submitted to financial institutions;
• You remain responsible for original fees, processor fees, administrative costs, and legal expenses incurred.

SECTION 15 – MANDATORY PRE-LITIGATION RESOLUTION

The parties agree to first attempt good-faith resolution of any dispute.

If unresolved, the parties agree to participate in mediation in Dallas County, Texas prior to filing litigation.

Each party shall bear its own mediation costs unless otherwise agreed.

SECTION 16 – GOVERNING LAW & VENUE

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Dallas County, Texas, and the parties consent to personal jurisdiction therein.

SECTION 17 – FORCE MAJEURE

Cinéra House shall not be liable for delays or failure caused by events beyond reasonable control, including illness, natural disasters, platform outages, or third-party service failures.

SECTION 18 – SEVERABILITY

If any provision of these Terms is found unenforceable, the remainder shall remain in effect.

SECTION 19 – ENTIRE AGREEMENT

These Terms, together with any applicable Statement of Work and Refund Policy, constitute the entire agreement between you and Cinéra House.

SECTION 20 – CHANGES TO TERMS

We may update these Terms at any time.

Continued use of the Services constitutes acceptance of any modifications.
